RWK Goodman advise Gold Care Homes on landmark expansion of its portfolio

A national care home provider has significantly grown its operations as part of a wider deal worth more than £240m, with legal support provided by care sector specialist RWK Goodman.
Gold Care Homes has expanded its portfolio with a total of nine care home businesses. Two of the properties have been acquired by the group and seven more leased from international real estate investment trust, Omega Healthcare Investors. The leases form part of a wider transaction which saw Omega acquire 47 homes from Four Seasons Health Care Group.
RWK Goodman’s Health & Social Care team led by partners Paul Daniels and Hazel Phillips advised Gold Care on all aspects of the transaction, including the acquisition of the businesses and properties and entry into the lease agreements.
Additional support was provided by partner Rob Walton on real estate matters, associate Freya Still on corporate needs, associate Chris Amys on employment requirements and senior associate Lizzy Cully on construction.
Hazel, head of the firm’s Health & Social Care team, said: “This is another major milestone in the trajectory of Gold Care Homes, which will continue to expand on their mission to deliver high-quality care to all its residents while also providing the next foundation for further growth and accessing new markets.
“We’re delighted to be able to support on this wide-reaching and complex transaction with our expertise and consideration of the specific business needs of Gold Care Homes and the strict regulatory fields necessary to ensure that this deal ticked all the boxes for Gold Care and their commitment to quality care.”
Gold Care Homes currently operates more than 40 homes across 10 regions in southern England and the Midlands. Christie & Co also provided support on the transaction for the buyer-side, while CBRE advised on the sell-side.
The remaining homes purchased by Omega as part of the wider deal will be leased to additional operating partners including Harbour Healthcare, Springcare, Belmont Healthcare, and LV Group.
