Hazel is a Partner and Head of our Health & Social Care Team.

Hazel specialises in sales, mergers and acquisitions in adult social care, children’s services, education and early years, acting for both operators in the private and not for profit sectors. She also provides advice in relation to corporate governance, refinance and commissioning contracts.

 

Experience:

  • Advised Careconcepts on the refinance and acquisition of their fifth home, Vale Court.
  • Advised Gold Care Homes on the addition of nine homes to their portfolio , including the sale and leaseback of two properties to Omega Healthcare REIT.
  • Advised the shareholders of Grove Care on the sale of their group of four homes to Allegra Care and Moorfield.
  • Advised the shareholders of Oakview Care on the sale of three learning disability homes to Cygnet.

Ofsted prosecutes unregistered children’s home provider imposing a significant fine
On 4 August 2026, Ofsted secured its first successful prosecution of an unregistered children’s home provider. High Court confirms claim for unpaid subscriber shares may be time-barred after six years
The High Court has held that a company’s claim for payment for shares subscribed for on incorporation was time barred where proceedings were issued more than six years after the payment obligation first arose. The decision underlines the importance of identifying when a shareholder’s liability to pay crystallises and acting promptly to enforce it, otherwise the company could lose the opportunity to enforce the obligation to pay.
