RWK Goodman advises Oxford Metrics plc on the acquisition of Industrial Vision Systems Limited

We have advised long-standing client Oxford Metrics plc in relation to its acquisition of the entire issued share capital of Oxford-based Industrial Vision Systems Limited (IVS) for a consideration of £8.1million (subject to adjustment) to be satisfied in a mixture of cash and newly issued Oxford Metrics shares.

Oxford Metrics, a long-standing client of RWK Goodman, is an Oxford-based smart sensing software company with customers across the life sciences, entertainment and engineering sectors.

IVS develops AI-driven machine vision systems which are used globally in automated production processes for high precision quality control, inspection, measurement, tracking and counting. Its highly accurate, non-contact vision systems provide well-known brands (including Jaguar Land Rover, Johnson & Johnson and Alkegen) with quality control which contributes to lower costs, improved brand reputation, competitiveness and increased product safety.

For Oxford Metrics, which in October 2023 won the “Best Technology” award at the prestigious AIM Awards, the acquisition represents an extension of its core “smart sensing” technology into inspection automation in real-time manufacturing processes.
