About Michelle
Michelle is a Senior Associate in our Corporate team
Michelle is based in London and her focus is on delivering a personable City-quality service to ambitious businesses and entrepreneurs across a range of sectors.
She advises founders, shareholders, owner-managed businesses, investors and corporate clients on a broad range of corporate transactions and advisory matters, with a particular focus on mergers and acquisitions, investment rounds, shareholder arrangements, corporate reorganisations and general company law support.
Michelle supports clients at key stages in the business lifecycle. She can guide sellers through an exit process, help founders and growth companies navigate investment into their business, advise shareholders on shareholders’ agreements and constitutional arrangements, and assist companies with governance, restructurings and practical corporate housekeeping. Michelle’s approach is commercial and solutions-focused, helping clients understand what matters, where the risks sit and how to move transactions forward efficiently.
International
Michelle also has experience advising on cross-border matters and projects involving non-UK entrepreneurs, investors and businesses operating in or investing into the UK or vice versa.
Michelle speaks English and Polish.
Experience:
- Advising sellers and management teams on disposals, exit processes and transaction documents.
- Advising buyers on share and asset acquisitions.
- Advising founders and companies on investment into their business, including fundraising structures, investor protections, subscription documents and updated constitutional arrangements.
- Advising on shareholders’ agreements to regulate their relationship, decision-making rights, transfer restrictions, pre-emption rights, leaver provisions and exit arrangements.
- Supporting companies with corporate governance and advisory matters, including board approvals, shareholder resolutions, Companies House filings and wider corporate housekeeping.
- Corporate reorganisations, share buy-backs, capital reductions, share-for-share exchanges, group structure changes and other internal restructuring projects.
- Cross-border corporate matters.
