RWK Goodman Advises Shareholders of 3DEC on Strategic Sale to Ethos Engineering

RWK Goodman has advised the shareholders of 3DEC Limited, a UK-based specialist IT consultancy on its acquisition by Ethos Engineering, an EMEA engineering consultancy business headquartered in Dublin, Ireland.

3DEC is a UK-based technology design consultancy, providing services to data centres, commercial workplaces and educational environments. The business specialises in ICT, audiovisual, BIM-led design, and project management services.

Ethos Engineering is an engineering consultancy and one of Europe’s leading specialists in mechanical, electrical and sustainability-led design for complex buildings. Ethos is backed by Exponent, a private equity firm focused on backing founder-led and management-owned businesses.

Ethos’s growth has been accelerated through strategic investment by Exponent, backing its expansion of its services, geographic reach, and technical capabilities. The acquisition of 3DEC brings specialist expertise in-house, enhancing Ethos’s offering and supporting the acceleration of project delivery.

RWK Goodman advised on the English law aspects of the transaction. The firm’s team was led by corporate partners John North and Bharti Moore, with support from partner Iain Butler, solicitor Kayleigh Tang and employment specialist David Israel.
